Our client is seeking a Corporate Legal Counsel to join their dynamic team. This role will report directly to the Head of Legal and will play a crucial part in supporting their businesses in the Philippines, based in Makati. Your day-to-day responsibilities will be diverse and engaging, encompassing areas such as commercial contracts, regulatory matters, tech product advisory, data and privacy matters, and general legal advisory work.

What You'll Do
As a Corporate Legal Counsel, you will be at the forefront of our client's legal operations. You will be responsible for drafting, reviewing, and negotiating various agreements while also advising on Mergers & Acquisitions (M&A). Your expertise will be vital in liaising with regulators on licensing matters and ensuring compliance with regulations. Furthermore, your role will involve providing practical advice on product-related issues, privacy concerns, and data matters. You will also contribute to setting up and refining company processes. Lastly, you will support the Regional Head of Legal in strategic initiatives.
- Advise on mergers and acquisitions (M&A), including conducting legal due diligence, and assisting in the drafting and negotiation of transaction documents.
- Collaborate with internal stakeholders to ensure legal risk mitigation while enabling business growth and innovation.
- Draft, review, and negotiate a wide range of contracts and agreements with clients, partners, outsourced vendors, and service providers.
- Establish and continuously improve internal legal and compliance processes to enhance operational efficiency and risk management.
- Liaise with regulatory authorities on licensing and compliance requirements, and structure internal processes to ensure adherence to applicable laws and regulations.
- Offer practical and commercially sound advice on legal matters related to product development, data privacy, and data protection.
- Provide strategic legal counsel to senior leadership on licensing, regulatory, and compliance matters.
- Support the Regional Head of Legal on strategic legal initiatives and cross-border projects.
What You Bring
The ideal candidate for this Corporate Legal Counsel position brings a wealth of experience from both in-house roles and private practice. With over 8 years PQE, you have honed your skills across M&A, Technology Media, and Financial Services sectors. Philippines Bar passer is essential for this role. Your industry experience spans technology, financial services, banking, payments or fintech. You have a proven track record of dealing with regulators, especially in credit bureau matters. Your interest and experience in technology-related matters, data products, AI products, and familiarity with the latest legal issues in technology will be highly valued. Your ability to independently handle commercial contract drafting and negotiation is crucial. Lastly, your enthusiasm for working in a start-up environment and driving positive changes in a fast-paced setting with a can-do attitude will set you apart.
- At least 8 years of PQE, with a mix of in-house and private practice exposure in Banking, Fintech, or Financial Services.
- Capable of independently handling commercial contract drafting, review, and negotiation.
- Demonstrated experience in dealing with regulators, especially in relation to credit bureau, incorporation and licensing matters.
- Excited about a start-up environment and driving positive changes in a fast-paced environment with a can-do attitude.
- Industry experience in technology, financial services, banking, payments, or fintech is highly preferred.
- Must be a member of the Philippine Bar.
- Proven experience in Regulatory, Commercial, M&A, and Corporate Secretarial work.
- Strong background in technology-related legal issues, with interest and familiarity in data-driven products, AI, and emerging tech regulations.
